Terms of sale
1. Scope
These general terms of sale (the "Terms of Sale") govern any subscription to a paid plan of the TimeReport service offered on timereport.app. They apply to all customers, whether professional or consumer (the "Customer"), to the exclusion of any other terms. Any subscription implies unreserved acceptance of these Terms of Sale.

3. Plans
TimeReport is an online service (SaaS) offered as monthly or annual subscriptions. The essential features of each plan (included features, quotas, prices) are presented on the pricing page and at the time of subscription.
4. Prices
Prices are displayed in euros (€), excluding tax and including tax where VAT applies. [TO COMPLETE: specify applicable VAT or mention "VAT not applicable, art. 293 B of the French Tax Code" if under the small-business VAT exemption.]
The Publisher reserves the right to change prices at any time. The applicable price is the one in effect at the time of subscription or renewal. Any price change is notified to the Customer at least 30 days before it takes effect on ongoing subscriptions.
5. Order and subscription
The Customer subscribes online from the subscription page. The subscription becomes final after payment confirmation from the payment provider and dispatch of a confirmation email. The Publisher reserves the right to refuse any subscription on legitimate grounds (suspected fraud, prior dispute, etc.).
6. Payment
Payment is made online by credit/debit card through our payment provider Stripe Payments Europe Ltd (1 Grand Canal Street Lower, Dublin 2, Ireland). No bank data is stored by SUDOSU. Transactions are secured (encryption, 3-D Secure).
For recurring subscriptions, the Customer authorizes the automatic debit of the registered card at each renewal, until termination. In the event of a failed payment, the Publisher may suspend access to the Service after notice.
7. Term and renewal
Subscriptions are entered into for the period stated at the time of subscription (monthly or annual), with tacit renewal at each term. The Customer may cancel at any time from their billing settings. The cancellation takes effect at the end of the current period, without pro rata refund.
8. Right of withdrawal (B2C only)
Pursuant to article L. 221-18 of the French Consumer Code, consumer Customers have a 14-day withdrawal period from the date of subscription, without having to provide a reason.
However, pursuant to article L. 221-28 13° of the same code, the Customer expressly waives their right of withdrawal if they request immediate access to the Service before the 14-day period expires and expressly acknowledge the loss of their withdrawal right. This waiver is collected at the time of subscription.

9. Warranties
The Service is provided as a best-effort obligation. The Publisher undertakes to provide due care and diligence in delivering a quality Service.
Consumer Customers benefit from the legal warranty of conformity (articles L. 224-25-12 et seq. of the French Consumer Code for digital content and services) and the warranty against hidden defects (articles 1641 et seq. of the French Civil Code), regardless of these Terms of Sale.
10. Service availability
The Publisher endeavours to ensure 24/7 availability, subject to interruptions for maintenance, updates, force majeure events, or failures of telecommunications operators or the hosting provider. No service-level commitment (SLA) is guaranteed unless otherwise agreed in a specific contract.
11. Suspension and termination for fault
In the event of a serious breach by the Customer (non-payment, fraud, abusive use), the Publisher may suspend access to the Service after a 15-day formal notice that remains unanswered, or terminate the subscription by operation of law, without prejudice to any damages.
12. Liability
The Publisher's liability is limited to the amounts actually paid by the Customer for the relevant subscription over the past 12 months. The Publisher shall not be liable for indirect damages (loss of business, loss of opportunity, loss of data, reputational harm, etc.).
13. Personal data
Data collected as part of subscription and billing is processed in accordance with our privacy policy.
14. Disputes and mediation
These Terms of Sale are governed by French law.
Pursuant to article L. 612-1 of the French Consumer Code, consumer Customers may have free recourse to a consumer mediator for the amicable resolution of a dispute: [TO COMPLETE: name and details of the consumer mediator approved by the CECMC].
The consumer Customer may also use the European online dispute resolution platform: ec.europa.eu/consumers/odr.
Failing amicable resolution, any dispute shall be submitted to the courts of Lyon, subject to any mandatory consumer-protection provisions to the contrary.
15. Changes to the Terms of Sale
The Publisher reserves the right to modify these Terms of Sale. The new Terms of Sale apply to subscriptions entered into after they come into force. For ongoing subscriptions, the Customer is informed at least 30 days before the changes take effect and may terminate without charge if they refuse the new terms.
